M&A Issues for Nonprofit Organizations

Nonprofit executives and board members face a challenging environment.  Mergers and acquisitions can be a powerful growth tool to increase funding, expand community impact, extend services to new geographies and populations, and improve operational efficiencies.

Please join William Klimon, a nonprofit-organizations lawyer with Caplin & Drysdale, and Andy Smith, an investment banker and business valuation professional with The McLean Group, for a breakfast seminar focused on the issues that nonprofit organizations face when undertaking mergers and acquisitions.

Learning objectives include:

  • an overview of nonprofit M&A activity and its impact on an organization’s strategy;
  • the unique fiduciary duties and governance issues that nonprofit organizations face; and
  • an analysis of fair market value and the importance of the fairness of transactions.
