Decision Resources, Inc. acquired

Adaptive Software LLC for $24.5 million.

Under the terms, $7.4 million of the total

consideration will be paid on closing, an

additional $11.1 million if and when

Adaptive meets certain post-closing

requirements and additional payments up

to $6 million in aggregate based on the

future performance of the Adaptive

business. In 2015, Adaptive generated

revenues of $3.2 million.

Constellation Healthcare Technologies

completed a share purchase agreement to

acquire MDRX Medical Billing LLC for $30

million in cash. Constellation will pay a

maximum cash consideration of up to $30.0

million, with $28.0 million payable upon

completion and up to a further $2.0 million in

cash based on the fulfillment of certain revenue

targets by MDRX during the following two

years. Unaudited management accounts for

the 12 months to August 31, 2015 show

revenues of $31.6 million, underlying EBITDA

of $4.8 million and net assets of $2.3 million as

at that date.

Halma plc (LSE:HLMA) acquired

CenTrak, Inc. from private shareholders

for $140 million in cash. The acquisition

was funded from Halma's existing cash

and debt facilities. As on December 31,

2015 CenTrak reported revenue of

$43.8 million and gross assets of $26.2

million. The CenTrak Chief Executive

Officer and management team will

continue to operate the business out of

its current locations.
