The McLean Group Advises Triad Interactive on Sale to McGraw Hill
McLean, Va. – May 13, 2021 – McGraw Hill, a leading educational publisher providing customized educational content, software, and services for pre-K through postgraduate education, announced today it has acquired Triad Interactive, Inc., a developer of e-learning software for higher education establishments. This engagement was led by The McLean Group’s technology practice. Terms of the transaction were not disclosed.
Triad, a 25-year-old Washington, DC company, was founded by Cheryl Manning and Catherine Swinson, both of whom will join McGraw Hill in consulting roles. All employees from Triad have joined McGraw Hill following the acquisition.
“This acquisition is the exciting and logical next step in our longtime relationship with Triad and their incredible employees,” said Michael Ryan, President of McGraw Hill’s Higher Education group. “By joining together, we’ll be able to make SIMnet stronger and better, improving implementation and support services for customers, fueling future growth and development of the product and exploring new markets and channels to bring the program to a larger audience.”
“Our team has worked in concert with McGraw Hill for many years – almost as if we were part of the same company,” Manning and Swinson said, jointly. “We’re thrilled to now officially become part of the McGraw Hill family and to continue evolving the SIMnet content and platform to serve more learners in the future.”
McLean Group’s Managing Director, Paul Klick added: “In this engagement, our focus was to find the best partner for our client while still providing substantial value to the shareholders. We explored several options but wanted to make sure the partner chosen would support the strong corporate culture that has been built and nurtured throughout the year. McGraw Hill was the logical fit and provided the best opportunity for both corporate and personal growth of the Triad team.”

Earnouts are one of the most powerful and most misunderstood tools in middle-market M&A. When buyers and sellers cannot agree on value, a well-structured earnout bridges the gap. But under ASC 805, the accounting treatment is anything but simple: contingent consideration must be measured at fair value on Day One, classified as liability or equity with real P&L consequences, and remeasured every reporting period for the life of the arrangement. For PE sponsors and portfolio company CFOs, the decisions made at the term sheet stage, including metric selection, settlement structure, and discount rate methodology, determine not just deal economics but how results are reported to lenders, boards, and investors long after close.
