The McLean Group Advises Valiant O&M on Its Acquisition by Inspirit Equity
TYSONS, VA · AUGUST 27, 2026
TYSONS, Va., August 27, 2026 — Inspirit Equity today announced the acquisition of Valiant O&M, the operations and maintenance division of Valiant Integrated Defense Services. Upon closing, the business will operate as Vulcan Government Services ("VGS"), an independent provider of facility operations, maintenance, and logistics services to U.S. government agencies.
The transaction represents a highly complex corporate carve-out, requiring the separation and establishment of a mission-critical government services business as an independent company.
VGS provides logistics and facilities services for hospitals, medical facilities, research laboratories, and other critical infrastructure as well as Chemical Management and Logistics support services. The company supports various U.S. government clients through a diversified portfolio of long-term contracts both domestically and overseas.
Inspirit Equity, a Los Angeles-based private investment firm, focuses on companies with strong fundamentals and collaborates with management teams to accelerate growth, enhance operations, and unlock long-term potential.
"VGS has earned an exceptional reputation for delivering highly specialized services in environments where reliability and operational excellence are critical. Demand for those services continues to grow as agencies invest in the readiness and resilience of critical infrastructure, and we're excited to support the team as they build on that foundation."
Charles Gores · Founder and CEO, Inspirit EquityVGS will continue to be led by Chuck Phillips as Chief Executive Officer, who joined Valiant in 2023 and has overseen the O&M business as Vice President and General Manager.
"This is an exciting new chapter for our team and our customers. As a standalone company, we can operate with greater focus, agility and strategic flexibility. Inspirit's support will allow us to continue investing in our people, expand our capabilities, and deliver the reliable service our customers count on every day."
Chuck Phillips · Chief Executive Officer, Vulcan Government ServicesNear-term priorities will include adding dedicated business development resources, expanding the company's construction capabilities, and pursuing opportunities across existing and adjacent end markets.
Transaction establishes independent company focused on mission-critical government facility services
Inspirit Equity has worked closely with Valiant and key stakeholders to address the operational, financial, contractual and organizational complexities required to position the business for long-term success as a standalone enterprise.
"This is the type of complex transaction where we believe Inspirit's approach and capabilities can create significant value," said Ryan Kanaley, Managing Director at Inspirit Equity. "Creating an independent company from a business of this size requires thoughtful planning and close coordination. We focused on making sure VGS has the people, systems, and resources in place to hit the ground running."
Kanaley said VGS will focus on both organic growth and prospective M&A. "Our job now is to give the team the resources and support they need to maximize their potential," he said.
"The right partner is about more than valuation, and the fit here was evident from the outset. Management has built a differentiated business in a competitive market, and this transaction gives the team the resources and runway to keep growing. It was a pleasure to advise them through the process."
Josh Butler · Managing Director, The McLean GroupTransaction Advisors. In connection with the transaction, The McLean Group acted as the exclusive financial advisor to Valiant O&M, Sidley Austin LLP served as legal counsel to Valiant, and Jones Day served as legal counsel to Inspirit Equity. Financial terms of the transaction were not disclosed.

Backlog as a Diligence KPI: Funded, Unfunded, and What Buyers Actually Underwrite
Backlog is the bridge between a company’s historical financial performance and management’s forecast, but only the funded portion carries the certainty a buyer will actually underwrite.
