M&A Issues for Nonprofit Organizations

Nonprofit executives and board members face a challenging and dynamic strategic environment.  Mergers and acquisitions can be a powerful growth tool to increase funding, expand community impact, extend services to new geographies and populations, improve operational efficiencies, and accomplish their strategic plans.

Please join Caplin & Drysdale nonprofit lawyers William Klimon and Meghan Biss (former technical advisor to the Director of Exempt Organizations at the IRS), and Andy Smith, an investment banker and business valuator with The McLean Group for a breakfast seminar focused on the issues that nonprofit organizations face when undertaking mergers and acquisitions.  Learning objectives include:

  • an overview of nonprofit M&A activity and its impact on an organization’s strategy;
  • the unique governance and tax issues that nonprofit organizations face in M&A transactions; and
  • an analysis of fair market value and the importance of analyzing the fairness of transactions.
